SaaS Customer Agreement

1. Services

Provider shall provide access to the DropShipEazy SaaS platform under the terms defined herein.

2. Access Rights

Customer is granted a non-transferable, non-exclusive right to access and use the software solely for its internal business operations.

3. Customer Responsibilities

Customer shall maintain confidentiality, use the service lawfully, and ensure their users comply with the Agreement.

4. Fees & Payment

Customer agrees to pay subscription fees. Late payments may incur interest and account suspension.

5. Data Ownership

Customer retains all rights to their own data. Provider may use anonymized data for analytics.

6. Uptime & Support

Provider aims for 99.5% uptime, excluding planned maintenance. Support is available via in-app chat or email.

7. Confidentiality

Both parties agree not to disclose confidential information.

8. Term & Termination

Agreement is ongoing until terminated by either party with 30 days' notice. No refunds are given post-cancellation.

9. Warranties & Disclaimer

Provider disclaims all warranties. The service is provided "as is."

10. Limitation of Liability

Provider's total liability is limited to the fees paid in the prior 3 months.

11. Indemnification

Customer agrees to indemnify Provider for third-party claims from misuse of the service.

12. Governing Law

This Agreement is governed by the laws of the United States.
